甲乙双方本着平等互利、友好协作的原则，经协商，就甲方与乙方联合经营出口业务达成如下协议：

一、 甲方责任

1．甲方与乙方联合经营出口________产品，具体品名、规格、数量及价格等以出口合同为准。

2．协助乙方对外索赔，由此产生的费用由乙方承担。

3．提供本协议每一票出口货物所需出口相关单证。

4．负责向银行办理交单议付手续和收结汇。甲方在收到结汇水单、出口核销单、报关单及乙方提供的增值税发票（经国税局认定为真实有效的增值税发票）后三个工作日内，按结算比率（详见结算表）将款项（扣除银行和甲方代垫费用）付至乙方工厂；如汇率变化，按新汇率执行。若外汇货款到帐发生在每月的1—10日期间，则货款先按1美元：____元人民币付给乙方，余款延至每月10日后付给乙方。

5．负责办理外汇核销手续。

二、乙方责任

1．负责办理本协议每一票外销合同项下的货物订仓、排载、装运、报关、报检、保险及编制有关单据等手续，甲方积极协助乙方办理上述手续。

2．乙方对货物的质量、数量、包装、交货期负责，因货物质量、数量、包装、交货期以及不可抗力等原因造成的损失由乙方承担。

3．负责联系境外客户，通知境外客户将外汇货款支付到甲方指定的银行帐户，或开立以甲方为受益人的即期不可撤消信用证。所有因外商索赔，外商违约或者其他原因造成本协议外销合同未能履行、延迟履行、部分履行或履行不符合约定条件，使甲方未能按时收汇核销或无法收汇核销，乙方承担由此产生的一切经济损失和法律责任。

4．乙方异地自理报关的，应接受甲方监督管理，并提前5天将出货计划和需要领取的单证传真给甲方。所领取的单证应在30天内归还甲方，乙方应保证合法、安全地使用甲方提供的单证，如发生单证丢失、使用不当和延误等情况，所引起的一切后果和经济损失由乙方承担

5．乙方应遵守国家法律、法规和各项规定，乙方对甲方在授权范围内依本协议所做的

一切行为承担法律责任。若乙方在执行本协议过程中因假冒商标、假冒产地或商标侵权等违法违纪导致甲方经济和声誉损失，乙方负全部责任。

6．乙方必须在报关出口后60天内提供与本协议项下每批货物的出口报关单相符的，由供货工厂开具的增值税发票，承担增值税发票不合法、不准确、不正确而导致甲方无法退税或造成骗税行为的经济损失和法律责任。如乙方提供的增值税发票、关单、核销单系伪造或有其他与税务局等国家管理机关要求不符之处，甲方有权拒付相当于应退税款的余款。

7、乙方应督促境外客户按时付汇，保证甲方能在报关出口后3个月内收回外汇。若无法按时收汇核销而导致无法退税的，乙方应承担由此产生的一切经济损失和法律责任。

8．若由于乙方原因导致无法退税的，乙方仍需安排外汇到帐，且必须开具普通商业发票给甲方，同时甲方向乙方收取出口报关金额1%的手续费；若乙方无法安排外汇到帐或无法开具普通商业发票给甲方，由此产生的一切经济损失和法律责任均由乙方承担。

三、货款结算：

1．甲方应付乙方货款以净收汇按以下结算比价表计算：

出口退税率____结算及开票比价（美元:人民币）____%

2．乙方应按开票比价足额开具增值税发票，开票不足的应退税款由乙方承担。

3．甲方付给工厂的货款应通过银行汇付，收款人必须与开票单位相一致。

四、信用证审证条款：甲方收到信用证后翻译并传真给乙方，由乙方决定是否接受，经书面确认后传真给甲方。

【第2篇】外贸代理出口合同

依照国家有关法律 法规 ，签约双方就委托代理出口业务有关事项协商一致，订立本合同：

一. 委托代理出口商品名称：

出口口岸： 深圳 ；总金额：xxx万美元，在2004 年年底前履行完毕。

具体型号、规格、数量、金额在每批出口前另行确认。

二. 双方权利义务：

(一). 代理方：

1. 代理委托方办理有关货物出口报关、报检、托运手续及结汇、退税事宜,但因 出口合同 及其附件的瑕疵所产生的一切责任由委托方自行承担。

2. 因委托方原因致使出口合同不能履行、不能完全履行或迟延履行的，代理方有权解除本 代理合同 ，委托方应承担由此产生的一切费用和后果。

3. 因外商原因致使合同不能履行、不能完全履行或延迟履行，代理方应及时通知委托方采取补救措施。如委托方在 诉讼时效 内书面要求对外索赔的，代理方应根据其出口合同，积极协助委托方对外索赔，委托方承担由此产生的一切费用和后果。并应在索赔前，依据代理方书面通知将预付费用划至代理方帐户。若委托方未支付有关索赔费用，而由代理方先行支付的，则委托方丧失享有索赔产生的权利，但不免除因索赔而产生的义务。上述义务包括但不限于承担代理方先行代垫的 律师 费、 诉讼费 、仲裁费、差旅费、通讯费等。反之，如外商索赔，由代理方应诉/应裁，但委托方应无条件协助并承担应诉/应裁的一切费用和后果。

(二). 委托方：

1. 应提供以下有效证件复印件：

① 企业法人 营业执照 （含非法人营业执照）；

② 组织机构代码证；

③ 税务登记证（国税）；

④ 增值税 一般纳税人资格证书或申请认定表（正在申请一般纳税人的企业）；

⑤ 如是外商投资企业或中外合资企业，还需要提供：港澳台侨企业批准证书。

若以上证照到期后，委托方在年审后半个月内应提供上述资料复印件给代理方。

2. 保证所委托出口的货物符合出、进口国的国家政策法律规定，并保证委托出口的货物不侵犯他人 知识产权 。

3. 负责组织出口货源，并根据出口合同的规定按时将委托出口货物运至出运口岸及承担运费，并保证所委托的实际货物与报关品名、规格、数量、质量、包装等相符。若委托方违反本条规定，则应承担由此产生的对外及对代理方的赔偿责任。

4. 协助代理方办理报关、报检、制单、结汇等具体业务，保证从代理方处取得的所有单证的安全，不得挪作它用。

5. 代理方原则上不接受拼柜货物。若确有必要，委托方应于货物报关出口前一周书面通知代理方，由代理方决定是否接受。

6. 委托方应如实申报，不得虚报数量，高报价值。

7. 如委托方指定货代以及需异地报关出口的货物，委托方应通知代理方其货代名称、地址、联系人、电话、传真等详细资料，并允许代理方与货代直接联系，在货物正式报关出口前，由货代将装箱单、发票传真给代理方确认。

8. 保证 增值税发票 和专用缴款书真实、有效、合法。

9. 未经代理方同意，委托方不得擅自更改确认后的合同条款，不得对外商作出合同之外的承诺。

10. 承担因委托方原因致使本合同及与外商签订之合同不能履行的一切责任。

11. 对外商资信负责，承担因外商原因致使与外商签订之合同不能履行或与外商签订之合同已部份履行但无法收汇核销的责任。前述外商违约导致本合同不能履行或不能完全履行，不影响本协议项下代理方收取代理费的权利。

【第3篇】外贸代理合同（二）

本协议双方为了发展贸易，在平等互利的基础上，按下列条件签定本协议。

this agreement is entered into between the parties concerned on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows:

4 定单的确认

5 付款

订单确认后，乙方须按照有关确认书所规定的时间开立以甲方为受益人的保兑的、不可撤消的即期信用证。乙方开出信用证后，应立即通知甲方，以便甲方准备交货。

6 佣金

在本协议期满时，乙方完成了第二款所规定的数额，甲方当按装运货物所受到的全部发票金额付给乙方_____%的佣金。

7 市场情况报告

乙方每三个月向甲方提供一次有关当时市场情况和用户意见的详细报告。同时，乙方应随时向甲方提供其它供应商所给的类似商品的样品及其价格、销售情况和广告资料。

reports on market conditions

party b shall forward once every three months to party a detailed reports on current market conditions and of consumers comments. meanwhile, party b shall, from time to time, send to party a samples of similiar commodities offered by other suppliers, together with their prices, sales informaiton and advertising materials.

8 宣传广告费用

在本协议有效期内，乙方在上述经销地区内所作广告宣传的一切费用，由乙方自理。乙方须事先向甲方提供宣传广告的图案及文字说明，由甲方审阅同意。

advertising & publicity expenses

party b shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this agreement and submit to party a all patterns and / or drawings and description for prior approval.

9 协议有效期

本协议由双方签字后生效，有效期_____年，自_____至_____。若一方希望延长本协议，则须在本协议期满前一个月书面通知另一方，经双方协商决定。

若协议一方未履行协议条款，另一方有权终止协议。

10 仲裁

在履行协议过程中，如产生争议，双方应友好协商解决。若通过友好协商未能达成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。该委员会决定是终局的，对双方均有约束力。仲裁费用，除另有规定外，由败诉一方负担。

all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached, the case in dispute shall then be submitted to the foreign trad arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decesion made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party, unless otherwise awarded.

11 其它条款

（1） 甲方不得向经销地区其它买主供应本协议所规定的商品，如有询价，当转给乙方洽办。若有买主希望从甲方直接订购，甲方可以供货，但甲方须将有关销售确认书副本寄给乙方，并按所达成交易的发票金额给乙方_____%的佣金。

（2） 若乙方在_____月内未能向甲方提供至少_____的订货，甲方不承担本协议的义务。

（3） 对双方政府间的贸易，甲方有权按其政府的授权进行有关的直接贸易，而不受本协议的约束。乙方不得干涉此种直接贸易，也无权向甲方提出任何补偿或佣金要求。

【第4篇】外贸代理合同

本协议双方为了发展贸易，在平等互利的基础上，按下列条件签定本协议。

(1) party a shall not supply the contracted commodity to any other buyers in the above mentioned territory. direct enquiries, if any , will be referred to party b. howerver, should any other buyers wish to deal with party a directly, party a may do so, but party a shall send to party b a copy of sales confirmaiton and give party b_____% commission(s) concluded.

(2) should party b fail to pass on his orders to party a in a period of _____ months for a minimum of _____, party a shall not bind himself to this agreement.

(3) for any business transacted between governments of both parties, party a may handle such direct dealings as authorized by party a’s government without binding himself to this agreement. party b shall not interfere in such direct dealings, nor shall party b bring forward any demand for compensation therefrom.

2. 委任

6. 价格与支付

price and payment

每一笔交易的货物价格应由乙方与买主通过谈判确定，并须经甲方最后确认。

付款使用保兑的、不可撤销的信用证，由买方开出，以甲方为受益人。信用证须在装运日期前15天到达甲方。

7. 独家代理权

基于本协议授予的独家代理权，甲方不得直接或间接地通过乙方以外的渠道向新加坡顾客销售或出口第三条所列商品，乙方不得在新加坡经销、分销或促销与上述商品相竞争或类似的产品，也不得招揽或接受以到新加坡以外地区销售为目的的订单，在本协议有效期内，甲方应将其收到的来自新加坡其他商家的有关代理产品的询价或订单转交给乙方。

in consideration of the exclusive rights granted herein, party a shall not, directly or indirectly, sell or export the commodity stipulated in article 4 to customers in singapore through channels other than party b party b shall not sell, distribute or promote the sales of any products competitive with or similar to the above commodity in singapore and shall not solicit or accept orders for the purpose of selling them outside singapore. party a shall refer to party b any enquiries or orders for the commodity in question received by party a from other firms in singapore during the validity of this agreement.

8. 商情报告

market report

为使甲方充分了解现行市场情况，乙方承担至少每季度一次或在必要时随时向甲方提供市场报告，内容包括与本协议代理商品的进口与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按协议供应的货物的品质、包装、价格等方面的意见。乙方还承担向甲方提供其他供应商类似商品的报价和广告资料。

in order to keep party a well informed of the prevailing market conditions, party b should undertake to supply party a, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc. of the goods supplied by party a under this agreement. party b shall also supply party a with quotations and advertising materials on similar products of other suppliers.

9. 广告及费用

乙方负担本协议有效期内在新加坡销售代理商品做广告宣传的一切费用，并向甲方提交所用于广告的声像资料，供甲方事先核准。

party a shall bear all expenses for advertising and publicity in connection with the commodity in question in singapore within the validity of this agreement, and shall submit to party a all audio and video materials intended for advertising for prior approval.

10. 佣金

commission

对乙方直接获取并经甲方确认接受的订单，甲方按净发票售价向乙方支付5%的佣金。 佣金在甲方收到每笔订单的全部货款后才会支付。

party a shall pay party b a commission of 5% on the net invoiced selling price on all orders directly obtained by party b and accepted by party a. no commission shall be paid until party a receives the full payment for each order.

11. 政府部门间的交易

transactions between governmental bodies

在甲、乙双方政府部门之间达成的交易不受本协议条款的限制，此类交易的金额也不应计入第五条规定的最低业务量。

transactions concluded between govenmental bodies of party a and party b shall not be restricted by the terms and conditions of this agreement, nor shall the amount of such transactions be counted as part of the turnover stipulated in article 5.

12. 工业产权

industrial property rights

在本协议有效期内，为销售有关洗衣机，乙方可以使用甲方拥有的 商标 ，并承认使用于或包含于洗衣机中的任何 专利 商标、版权或其他工业产权为甲方独家拥有。 一旦发现侵权，乙方应立即通知甲方并协助甲方采取措施保护甲方权益。

party b may use the trade-marks owned by party a for the sale of the washing machines covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the washing machines shall remain to be the sole properties of party a. should any infringement be found, party b shall promptly notify and assist party a to take steps to protect the latter's rights.

13. 协议有效期

validity of agreement

本协议经有关双方如期签署后生效，有效期为1年，从1992年10月1日至1993年9月30日。 除非作出相反通知，本协议期满后将延长12个月。

this agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from october 1, 1992 to september 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.

14. 协议的终止

termination在本协议有效期内，如果一方被发现违背协议条款，另一方有权终止协议。

during the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.

15. 不可抗力

force majeure

由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. however, the party affected by the event of force majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

4、价格甲方提供乙方的产品价格资料，应尽可能保持稳定，如有变动应及时通知乙方，以利推销。

5、优惠条款甲方提供乙方获致订单的条款是最优惠的。今后如甲方向地区其他客户销售产品而提供比本协议更有利的条件时，甲方应立即以书面通知乙方，并向乙方提供比此项更有利的条件。

6、保证甲方担保凡根据本协议出售的产品如经证实在出售时质量低劣，并经甲方认可，则甲方应予修复或调换。但此项修复或调换的保证，以产品在出售后未经变更或未经不正确的使用为限。除上述保证外，甲乙双方均同意不提供任何其他保证。

三、乙方的责任

1、推销乙方应积极促进产品的推销，获取订单并保持一个有相当规模和足够能力的推销机构，以利产品在地区的业务顺利开展和扩大。

2、禁止竞争乙方除得到甲方书面同意外，不应制造、购买、获取订单、或协助推销与本协议产品相同或类似的其他国家商品，或将本协议内产品转销其他国家和地区。

3、最低销售额在本协议有效期间的第一个十二个月内，乙方从地区客户获得的产品订单，总金额应不少于____________元。以后每十二个月递增______%。

4.乙方异地自理报关的，应接受甲方监督管理，并提前5天将出货计划和需要领取的单证传真给甲方。所领取的单证应在30天内归还甲方，乙方应保证合法、安全地使用甲方提供的单证，如发生单证丢失、使用不当和延误等情况，所引起的一切后果和经济损失由乙方承担

5.乙方应遵守国家法律、法规和各项规定，乙方对甲方在授权范围内依本协议所做的

一切行为承担法律责任。若乙方在执行本协议过程中因假冒商标、假冒产地或商标侵权等违法违纪导致甲方经济和声誉损失，乙方负全部责任。

6.乙方必须在报关出口后60天内提供与本协议项下每批货物的出口报关单相符的，由供货工厂开具的增值税发票，承担增值税发票不合法、不准确、不正确而导致甲方无法退税或造成骗税行为的经济损失和法律责任。如乙方提供的增值税发票、关单、核销单系伪造或有其他与税务局等国家管理机关要求不符之处，甲方有权拒付相当于应退税款的余款。

7、乙方应督促境外客户按时付汇，保证甲方能在报关出口后3个月内收回外汇。若无法按时收汇核销而导致无法退税的，乙方应承担由此产生的一切经济损失和法律责任。

8.若由于乙方原因导致无法退税的，乙方仍需安排外汇到帐，且必须开具普通商业发票给甲方，同时甲方向乙方收取出口报关金额1%的手续费;若乙方无法安排外汇到帐或无法开具普通商业发票给甲方，由此产生的一切经济损失和法律责任均由乙方承担。

三、货款结算：

1.甲方应付乙方货款以净收汇按以下结算比价表计算：

2.乙方应按开票比价足额开具增值税发票，开票不足的应退税款由乙方承担。

依照国家有关法律法规，签约双方就委托代理出口业务有关事项协商一致，订立本合同：

一. 委托代理出口商品名称：

出口口岸：深圳；总金额：万美元，在2004 年年底前履行完毕。

二. 双方权利义务：

(一). 代理方：

1. 代理委托方办理有关货物出口报关、报检、托运手续及结汇、退税事宜,但因出口合同及其附

件的瑕疵所产生的一切责任由委托方自行承担。

2. 因委托方原因致使出口合同不能履行、不能完全履行或迟延履行的，代理方有权解除本代理合

同，委托方应承担由此产生的一切费用和后果。

3. 因外商原因致使合同不能履行、不能完全履行或延迟履行，代理方应及时通知委托方采取补救

措施。如委托方在诉讼时效内书面要求对外索赔的，代理方应根据其出口合同，积极协助委托方对外

索赔，委托方承担由此产生的一切费用和后果。并应在索赔前，依据代理方书面通知将预付费用划至

代理方帐户。若委托方未支付有关索赔费用，而由代理方先行支付的，则委托方丧失享有索赔产生的

权利，但不免除因索赔而产生的义务。上述义务包括但不限于承担代理方先行代垫的律师费、诉讼

费、仲裁费、差旅费、通讯费等。反之，如外商索赔，由代理方应诉/应裁，但委托方应无条件协助

并承担应诉/应裁的一切费用和后果。

(二). 委托方：

1. 应提供以下有效证件复印件：

① 企业法人营业执照（含非法人营业执照）；

② 组织机构代码证；

③ 税务登记证（国税）；

④ 增值税一般纳税人资格证书或申请认定表（正在申请一般纳税人的企业）；

⑤ 如是外商投资企业或中外合资企业，还需要提供：港澳台侨企业批准证书。

若以上证照到期后，委托方在年审后半个月内应提供上述资料复印件给代理方。

2. 保证所委托出口的货物符合出、进口国的国家政策法律规定，并保证委托出口的货物不侵犯他

人知识产权。

3. 负责组织出口货源，并根据出口合同的规定按时将委托出口货物运至出运口岸及承担运费，并

保证所委托的实际货物与报关品名、规格、数量、质量、包装等相符。若委托方违反本条规定，则应

承担由此产生的对外及对代理方的赔偿责任。

4. 协助代理方办理报关、报检、制单、结汇等具体业务，保证从代理方处取得的所有单证的安

全，不得挪作它用。

5. 代理方原则上不接受拼柜货物。若确有必要，委托方应于货物报关出口前一周书面通知代理

方，由代理方决定是否接受。

6. 委托方应如实申报，不得虚报数量，高报价值。

7. 如委托方指定货代以及需异地报关出口的货物，委托方应通知代理方其货代名称、地址、联系

人、电话、传真等详细资料，并允许代理方与货代直接联系，在货物正式报关出口前，由货代将装箱

单、发票传真给代理方确认。

8. 保证增值税发票和专用缴款书真实、有效、合法。

9. 未经代理方同意，委托方不得擅自更改确认后的合同条款，不得对外商作出合同之外的承诺。

10. 承担因委托方原因致使本合同及与外商签订之合同不能履行的一切责任。

11. 对外商资信负责，承担因外商原因致使与外商签订之合同不能履行或与外商签订之合同已部

份履行但无法收汇核销的责任。前述外商违约导致本合同不能履行或不能完全履行，不影响本协议项

下代理方收取代理费的权利。

12. 保证在报关日后30日内将报关单、核销单等退税单据交还代理方，并保证报关单、核销单的

所有内容与相应的增值税发票和专用缴款书内容一致。

13. 因委托方的原因，导致增值税发票和专用缴款书未能退税时，代理方有权向委托方追索该部

份退税款。委托方应在收到代理方书面通知后3个工作日内将该部份退税款，付到代理方指定的银行

帐户上。

三. 费用与代理手续费结算：

1. 代理出口过程中所发生的一切费用,除退税外均由委托方承担，如因需要由代理方代为缴纳的，

委托方应在每笔费用实际发生前转入代理方帐户，代理方也可直接在货款中扣除。

本合同项下的出口费用包括：保险费、港口码头费、装运港市内短途运杂费、仓储费、出口检验费、

检疫费、报关费、国内银行费用等。

2.a.代理方负责接收国外客户t/t货款，该货款应于60天内汇到代理方指定的银行帐户）。在代理方

收到委托方国外货款，先按1美元：8.26人民币元将货款汇入同增值税发票上相符的银行帐户，在核

销单、报关单退回后，并收到委托方提供的增值税专用发票、税收缴款书后 3个工作日内将外汇货

款按1美元：9.14人民币元的比率，扣除已按1美元：8.26人民币元支付的货款，将剩余货款按委托

方的通知汇入同增值税发票上相符的银行帐户，其余部分（包括不低于 13%的退税款额）作为代理

方的代理费用。

3．如出口合同外商付款期至时，代理方未实际全部收汇，代理方对委托方就该笔货款保留追索权。

如代理方在委托方开具增值税发票和缴款书二个月后在国税局依然查无增值税发票和缴款书的相关信

息，委托方有责任协助代理方向当地国税局查询。

四. 违约责任:

1. 在本合同项下，如一方违约，除依法依约应承担违约责任及赔偿责任及赔偿守约方的实际损失

外，还应承担守约方为实现债权而支付的费用，该费用包括但不限于律师费用、诉讼费用、差旅费、

通讯费。

2. 自违约方违反本合同约定及法定义务之日起,其于后支付的任何款项按以下顺序清偿：（1）守约

方为实现权利支付的费用；（2）利息或违约金、损失赔偿金；（3）货款本金。

五．争议解决方式：

1．本合同适用《中华人民共和国合同法》及我国对外贸易代理的有关规定。

2．委托代理过程中发生纠纷，由双方协商解决，协商未果的，由合同签订地法院裁决。

六．其他：

1.上述结算价双方将根据2004年度实际退税时间及市场行情协商调整。

2．委托方或委托方指定的工厂若需要代理方提供“产品购销（买卖）合同”，该合同仅限于开具增

值税发票用，其内容若与本协议有矛盾，以本协议为准。

3．如中国人民银行美元和人民币的汇率发生变动，高于或低于1:8.26（不含本数）时,则代理方与

第七条 订单的处理

第九条 佣金

第十三条 协议期限

第十四条 协议的中止
